Morgan Wallen Sweepstakes Terms & Official Rules

 

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. Void outside the Eligibility Area and where prohibited by law. Subject to all federal, state, local, provincial, and municipal laws. The Giveaway Period begins 6:00 a.m. ET on September 12, 2024 & ends 11:59 p.m. ET on September 26, 2024 (the "Sweepstakes Period"). Entries must be received by 11:59 PM ET on September 26, 2024 to be eligible for the prize. Sponsor's computer is the official time keeping device for this Sweepstakes.

1. Eligibility: The Sweepstakes to See Morgan Wallen (the "Sweepstakes") is open only to legal residents of the 50 United States (“Eligibility Area”) who are at least 18 years of age as of date of entry. Employees, officers, and directors of Rooster Soul LLC ("Sponsor") and any of their respective parents, affiliates, subsidiaries, franchisees, mandataries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, web site providers, web masters, and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household (whether or not related) are not eligible to enter or win. Participation constitutes entrant's full and unconditional agreement to these Official Rules and to Sponsor's and/or Administrator's decisions, which are final and binding in all matters related to the Sweepstakes. Winning a Prize is contingent upon fulfilling all requirements set forth herein. Sponsor reserves the right to verify the eligibility of winners. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the English version of the Official Rules shall prevail, govern, and control.
2. Sponsor/Administrator: The Sponsor and Administrator is Rooster Soul LLC DBA Baby's Coffee, 3180 US Hwy 1, Key West, FL 33040.
3. How to Enter: There is NO PURCHASE NECESSARY to participate. A purchase does not increase your chances of winning. To receive one (1) entry (“Entry”) into the random drawing(s) corresponding to your date of Entry and your country/region/continent of residence, like, tag a friend or comment on Baby's Coffee social media posts that are posted on the entry page: www.babyscoffee.com/morgan/. Entrants must be a follower of Baby's Coffee on Instagram or Facebook and entries must be received by 11:59 p.m. ET on September 26, 2024. No information regarding Entries, other than as otherwise set forth in these Official Rules, will be disclosed. Limited to five (5) Entry per Baby's Coffee social media post. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, phone numbers, identities, registrations and logins, or any other methods will void such entries and that entrant may be disqualified.

 

1. Selection of Winners/Odds: Winners (as broken out below) will be randomly selected from among all eligible Entries received throughout the Sweepstakes Period. Drawings will be conducted by the Sponsor (at its office in Key West FL USA), whose decisions are final and binding on all matters related to the drawings and winner verification. The odds of winning a prize (each, a “Prize”) depend on the total number of Entries received. The drawing will be conducted within 48 hours after the drawing deadline date. The calculation of entries will be managed by ViralSweep.
2. Winner Notification: Potential winners will be post on social media and notified via social media messages and must respond to the notification within forty-eight (48) hours of notification attempt or Prize will be forfeited and an alternate winner will be selected and notified, time permitting. If a potential winner fails to respond within the required time period, or the Prize notification is returned undeliverable, or in the event that a potential winner is disqualified for any reason, Sponsor will award the applicable Prize to an alternate winner selected by a random drawing from among all remaining eligible Entries received for that drawing, time permitting. A maximum of two (2) alternate Prize winners will be selected for the Prize offered, time permitting, after which time the Prize will remain unawarded.

Potential winners are subject to verification by Sponsor and/or Administrator, whose decisions are final and BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. An entrant is not a winner of any Prize unless and until entrant's eligibility has been verified and entrant has been notified that verification is complete.

1. Prizes, Approximate Retail Values (“ARV”) in USD: The opportunity for winner and one (1) companion to see the Morgan Wallen in Tampa, Florida. Winner will receive a pair of concert tickets for the concert on October 4th, 2024. ARV USD $2,400. 
2. Grand Prize Terms: All fees and expenses (such as passport, visas, security fees, gratuities, parking, meals and ground transportation, and incidental charges) related to acceptance and use of the Prizes not specifically stated herein are the sole responsibility of the winners. Certain restrictions apply. No refund or compensation will be made in the event of the cancellation or delay of the concert except at the sole discretion of Sponsor. Lost, stolen or damaged tickets will not be replaced or exchanged. Sponsor shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any stadium, Morgan Wallen, concert organizors or other companies or any other persons providing any of these event services including any results thereof such as changes in services or accommodations necessitated by same.

In the event a Prize winner or travel companion engage(s) in behavior on trip or at a Concert that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects that Prize winner or travel companion to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Prize winner or travel companion as a result of such conduct. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF USE OF PRIZE/TRAVEL OR ANY OTHER ASPECT OF A PRIZE WINNER’S OR COMPANION’S ACCEPTANCE OR USE OF THE PRIZE.

Concert Ticket Prize Terms: The offering for sale, selling, reselling, or otherwise transferring of any Prize, or any portion thereof (e.g., Concert tickets, airline tickets, gifts, etc.) to any third party is strictly prohibited. Sponsor reserves the right to disqualify winners and void Prizes that appear to have been offered for sale, sold, or otherwise transferred. Concert tickets may be subject to Concert ticket issuer’s standard rain-check and cancellation policies and procedures. All expenses, travel, accommodations, and other costs not expressly stated in the package description above are the sole responsibility of each winner. Restrictions, conditions, and limitations may apply. Lost, mutilated, or stolen tickets, vouchers, or certificates will not be replaced by Sponsor or Administrator. By accepting the Prize, winners agree to abide by any terms, conditions and restrictions provided by the Concert ticket issuer. Sponsor is not responsible if winner does not make use of the Prize. Sponsor is not responsible if Concert is delayed, postponed, or cancelled for any reason due to circumstances beyond Sponsor’s control. Sponsor reserves the right to substitute that portion of Prize for one of equal or greater value. Winners cannot substitute, assign, transfer, or redeem Prize for cash; however, Sponsor reserves the right to make equivalent Prize substitutions at its sole discretion if any advertised Prize (or portion of a Prize) becomes unavailable. Winners are responsible for any loss of Prize or portion of Prize after it has been delivered.

Overall Prize Terms: Any and all applicable federal, state, local, provincial, and municipal taxes and all fees and expenses related to acceptance and use of Prize not specifically stated herein are the sole responsibility of the Prize winners. U.S. Prize winners may be issued a 1099 tax form for the actual retail value of Prize.

1. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. In the event of cancellation, the Prize will be awarded in random drawings from among all eligible Entries received for each drawing prior to cancellation. Sponsor, Administrator, and their agencies are not responsible for lost, late, incomplete, damaged, stolen or misdirected entries; lost, interrupted, or unavailable network, server, or other connections, garbled transmissions or miscommunications, telephone transmission problems; computer or software malfunctions or damage to a user's computer equipment (software or hardware); technical failures; or other errors or malfunctions of any kind whether human, mechanical, electronic, or otherwise. Proof of sending or submission of entry will not be deemed proof of receipt by Sponsor or Administrator. Sponsor's or Administrator's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, and/or the legitimate operation of the Sweepstakes; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect entries and (a) modify the Sweepstakes or suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the Prizes at random from among all eligible entries received for each drawing prior to cancellation up to the time of the impairment.

To the extent permitted by applicable law, you agree that in the event of inconsistency between your local language version (if applicable) and the English version of these Official Rules, the English version shall prevail, and your local language version shall be deemed to be amended accordingly to the extent necessary for such inconsistency to be in conformity with the English version of these Official Rules.

1. Release and Limitations of Liability: By participating in this Sweepstakes, entrants agree that Sponsor, Morgan Wallen, and each of their respective parents, affiliates, subsidiaries, franchisees, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters, and their respective officers, directors, employees, representatives and agents (the "Released Parties") are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of the Prize. BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANTS AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THIS SWEEPSTAKES OR IN ANY SWEEPSTAKES RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM.

BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANTS AGREE THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY SUCH SITE.

By participating in this Sweepstakes, you acknowledge: (1) In regard to a Prize or any other products or services offered by Sponsor and/or its affiliates free of charge, Sponsor shall only be liable for intent and gross negligence. (2) In all other cases, Sponsor shall only be liable in cases of intent and gross negligence. In case of slight negligence, however, Sponsor is only liable for the breach of essential contractual obligations, such as delay or impossibility of performance, for which Sponsor can be held responsible. The liability in the event of breach of such an essential contractual obligation is limited to the typical contractual damage, whose occurrence could be expected by Sponsor upon conclusion of the contract based on the circumstances known at that time. “Essential contractual obligations” are those obligations whose fulfillment is essential to enable the proper implementation of the contract, and the achievement of its purpose and whose observation you as an end consumer may rely upon. The foregoing limitations of liability shall not apply in the case of explicit guarantees by Sponsor, in case of malice and injuries to life, body or health, as well as in the case of mandatory statutory regulations. Nothing in these Official Rules shall deprive you of the consumer protection rights granted to you by the laws of your residence that cannot be derogated from by agreement to such.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING ALL PRIZES, ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

1. Publicity. EXCEPT WHERE PROHIBITED BY LAW, WINNERS GRANT TO SPONSOR, ADMINISTRATOR, MORGAN WALLEN, AND FIREFLY ENTERTAINMENT, INC. (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR AND/OR ADMINISTRATOR), AND THOSE ACTING PURSUANT TO THEIR AUTHORITY, THE RIGHT AND PERMISSION (BUT NOT THE OBLIGATION) TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, EACH WINNER'S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, ENTRY, AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION. ENTRANTS AGREE THAT SPONSOR SHALL OWN THE ENTRIES, WHICH WILL NOT BE ACKNOWLEDGED OR RETURNED, AND THAT SPONSOR AND ITS DESIGNEES SHALL HAVE THE PERPETUAL, WORLDWIDE RIGHT TO EDIT, PUBLISH, AND USE THE ENTRIES IN ANY WAY AND IN ANY MEDIA FOR TRADE, ADVERTISING, PROMOTIONAL, AND/OR OTHER PURPOSES AS SPONSOR AND/OR ITS DESIGNEES MAY DETERMINE WITHOUT FURTHER CONSIDERATION TO ENTRANTS OR ANY THIRD PARTY.
2. Disputes: Any dispute, controversy or claim arising out of or relating to this Sweepstakes, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally and exclusively determined by binding arbitration in accordance with the JAMS International Arbitration Rules. The tribunal will consist of one arbitrator. The seat of the arbitration will be Key West, Florida, USA though the parties may agree to online/virtual proceedings. The language to be used in the arbitral proceedings will be English. Judgment upon the award rendered by the arbitrator may be entered by any court having jurisdiction thereof. 
3. Privacy: The jurisdiction, state, or province in which you live may require the Administrator and/or Sponsor to delete your personal data upon written request, which Administrator will be bound to honor. However, you will be disqualified if personal data is withdrawn or deleted prior to the determination of the Prize winner(s) and fulfillment of the Prize(s). This is not a penalty – it is recognition that in complying with any such request Administrator and Sponsor’s ability to administer the Sweepstakes is removed as to a person withdrawing their permission for Released Parties to use their personal data or asking that their personal data be deleted prior to the determination of the Prize winner(s) and fulfillment of the Prize(s). Sponsor and the Administrator will process your personal information solely for the purpose of administering the Sweepstakes and your Baby's Coffee Loyalty Membership. Information collected by Sponsor and its agencies in connection with the Sweepstakes may be used by Sponsor and its agencies and shared with third parties involved in administration of the Sweepstakes in accordance with the online Privacy Policy above and applicable data protection laws. Sponsor agrees to ensure that all data collection complies with (i) all applicable laws, including without limitation, all laws, corporate standards, policies, regulations, as well as the General Data Protection Regulation (“GDPR”) (collectively “Applicable Laws”) (ii) the principles, guidelines, rules and codes of conduct of self-regulatory organizations to which third parties providing services, platforms, and data are bound, and any required notices and consents; and (iii) privacy disclosures and information collection requirements imposed on advertisers by targeting of media in order to comply with Applicable Laws. Entrants’ information will be transferred to the United States. Winners List will be sent in English after all Prizes have been awarded.
